Terms of Service

1. Acceptance of terms

These Terms govern access to and use of the Proderly service (the "Service"), provided by [TO COMPLETE — legal entity]. By creating an account or using the Service, the customer (the "Workshop") accepts these Terms in full.

2. Definitions

"Service": the Proderly web application for production tracking and workshop management. "Workshop": the company holding the subscription. "Operator": a user of the tablet at a workstation. "Subscription": the chosen plan (Solo, Starter, Pro, Atelier).

3. Description of the Service

Proderly provides quoting, orders, work orders, production clock-in, margins, and — as an add-on — scheduling. The Service is provided as SaaS, accessed via a browser and tablets connected by the customer.

4. Accounts and access

Back-office access uses a magic link sent by email. Operators sign in on the tablet with a PIN. The Workshop is responsible for keeping credentials confidential and for all activity under its account.

5. Free trial

The Service is offered as a 12-day free trial, with no credit card, including all tiers and scheduling. After the trial, a paid subscription is required to continue.

6. Subscription, pricing and billing

Subscription and add-on prices are shown on the Pricing page. Payment is processed by card through our payment provider [TO COMPLETE — e.g. Stripe]. Prices are exclusive of applicable taxes, which are added where required. Scheduling and additional tablets are billed separately.

7. Term, renewal and cancellation

The subscription has no fixed commitment and renews automatically each period (monthly or annual) until cancelled by the Workshop from its account. Cancellation takes effect at the end of the current period; amounts already paid are non-refundable except where required by law.

8. Acceptable use

The Workshop agrees to use the Service for its intended purpose and in compliance with applicable law, and not to compromise its security or attempt unauthorized access.

9. Availability and SLA

Proderly uses reasonable efforts to keep the Service available, with a service-level objective depending on the plan. Interruptions for maintenance or force majeure may occur. The tablets' offline mode ensures continuity of clock-in during network outages.

10. Data and backups

Workshop data is hosted within the European Union and backed up regularly. Processing of personal data is described in the Privacy Policy.

11. Intellectual property

The Service, brand, content and software remain the exclusive property of [TO COMPLETE]. The subscription grants a personal, non-exclusive, non-transferable right of use for the subscription term. Business data entered remains the Workshop's property.

12. Disclaimers and limitation of liability

The Service is provided "as is". To the maximum extent permitted by law, Proderly is not liable for indirect damages, and its total liability is limited to the amounts paid by the Workshop over the preceding [TO COMPLETE] months.

13. Indemnification

The Workshop agrees to indemnify Proderly against claims arising from its unlawful use of the Service. [TO COMPLETE as applicable].

14. Changes to the terms

Proderly may amend these Terms. Material changes are notified to the Workshop; continued use constitutes acceptance.

15. Governing law and disputes
